TradeZero\u202fis a highly complementary business that strengthens\u202fetoro’s\u202fpresence in the US. Founded in 2015,\u202f TradeZero brings next generation trading platforms,\u202fglobal broker-dealer infrastructure, a highly engaged community of traders, plus access to the Canadian market.<\/span>\u202fTogether, these capabilities create <\/span>opportunities to accelerate product innovation, enhance the client experience, and broaden the products and services offered across both platforms. TradeZero has operations across the US, Canada and international markets.<\/span>\u00a0<\/span><\/p>\n

Under the terms of the agreement,\u202fetoro\u202fexpects the aggregate purchase consideration to be up to $231 million, consisting of cash and up to 2.5 million newly issued Class A common shares of the Company, subject to certain customary purchase price adjustments.<\/span>\u00a0<\/span><\/p>\n

TradeZero\u202fgenerated approximately $80 million in revenue with 81% gross margin in the last twelve months<\/span>1<\/span>.\u00a0The transaction is expected to be accretive to adjusted EPS in the first year upon completion, making it a complementary addition to\u202fetoro’s\u202ffinancial profile while strengthening the Company\u2019s long-term growth prospects.<\/span>\u202f<\/span>\u00a0<\/span>\u00a0<\/span><\/p>\n

The acquisition is subject to customary closing conditions, including obtaining requisite regulatory approvals, and is currently expected to close during the first half of 2027.\u202f<\/span>\u202f<\/span>\u00a0<\/span><\/p>\n
